Terms of Service
These terms govern your use of the Sorry Not Public platform and website. By applying for membership, creating a workspace, or using the platform, you agree to them. If you use the platform on behalf of a company, you confirm you have authority to bind that company.

1. Who we are and what this is
Sorry Not Public ("we", "us") operates a private, membership-based platform where member companies run their projects, clients, documents and finances, and where our team may work alongside members inside their workspace. Sorry Not Public also sponsors or advises one or more private investment funds (each a "Fund").
The platform and the Funds are separate. Using the platform does not make you an investor in any Fund, and nothing on the platform is an offer to sell or a solicitation to buy any security. Any investment is made only through the Fund's own offering documents and subscription process, and only to eligible investors.
2. Membership and accounts
Membership is by application and at our sole discretion. We may accept, decline, limit or end membership at any time, with or without a reason.
You must provide accurate information when you apply and keep your account information current. You are responsible for everything that happens under your account and for keeping your password and any invite links private. Tell us immediately if you believe your account has been accessed without permission.
A workspace owner may invite team members and clients. The owner is responsible for the people they invite and for setting appropriate permissions.
3. Your content
You own the content you put into your workspace: projects, documents, contacts, quotes, invoices, files and messages ("Member Content"). You grant us a limited license to host, process, display and transmit Member Content solely to operate the platform, to provide services you request, and as described in the Privacy Policy.
You are responsible for Member Content and for having the rights to use it. You must not upload content that is unlawful, infringing, or that you don't have permission to share.
Where our team works inside your workspace, we may view and edit Member Content in order to help you. We treat it as confidential.
You can export your data from Settings at any time. If your membership ends, we will keep your workspace available for export for at least 30 days, after which we may delete it.
4. Our team working with you
Membership may include our team helping with planning, estimating, proposals, client work and financial review inside your workspace. This help is advisory. You make the final decisions about your business, your bids, your pricing and your clients, and you are responsible for them.
We are not your accountant, attorney, broker or fiduciary unless we agree to that in a separate written engagement. Nothing on the platform is legal, tax, accounting or investment advice.
5. Connected services and payments
You may connect third-party services (for example Stripe, Slack, Google, Canva, or an AI provider) using your own accounts and keys. Those services are governed by their own terms, and you are responsible for your accounts with them, including any fees they charge.
Where you use your own API keys or accounts, we store the credentials encrypted and use them only to provide the feature you connected. You can disconnect at any time.
Payments you collect from your clients through connected payment providers are between you and your client. We do not hold your funds.
6. Acceptable use
Don't use the platform to break the law, infringe others' rights, send spam, harass anyone, or interfere with the platform or other members. Don't try to access accounts, workspaces or data that aren't yours. Don't resell, sublicense or scrape the platform, or reverse-engineer it.
We may suspend or remove access, content or integrations that violate these terms or put other members at risk.
7. Fees
Membership fees, if any, are set out when you are accepted or in a separate agreement. Fees are non-refundable except where the law requires or we say otherwise in writing. We may change fees with at least 30 days' notice.
8. Confidentiality and privacy
Nothing about a member's work is public. We treat Member Content, applications and the identity of members as confidential, and we expect the same from members regarding other members and the Funds. How we collect and use personal data is described in our Privacy Policy, which is part of these terms.
9. Intellectual property
The platform, its design, software and content that we create (excluding Member Content) belong to Sorry Not Public and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform while you are a member and in compliance with these terms. Feedback you give us may be used without obligation to you.
10. Availability, changes and ending membership
We work to keep the platform available and secure, but we do not promise uninterrupted or error-free service. We may change, add or remove features, and we may update these terms; material changes will be announced in the platform or by email, and continued use after the effective date means you accept them.
You may end your membership at any time from Settings or by writing to us. We may end or suspend membership for breach of these terms, for risk to the platform or other members, or at our discretion with reasonable notice. Sections that by their nature should survive (your content rights, confidentiality, disclaimers, limitation of liability, governing law) survive termination.
11. Disclaimers
The platform and any help from our team are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any business outcome, that you will win work, be paid, raise capital, or be admitted to any Fund.
Information about any Fund on the platform or website is general background only. Investment involves risk, including loss of principal. Past performance is not a guide to future results.
12. Limitation of liability
To the fullest extent permitted by law, Sorry Not Public and its affiliates, partners, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the platform or these terms. Our total liability for any claim is limited to the greater of the fees you paid us in the twelve months before the claim or one hundred US dollars.
Some jurisdictions do not allow certain limitations; in that case these limits apply to the fullest extent allowed.
13. Indemnity
You will defend and indemnify Sorry Not Public against claims, losses and expenses (including reasonable legal fees) arising from your Member Content, your use of the platform, your dealings with your clients, or your breach of these terms.
14. Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction. Before filing, both sides agree to try in good faith to resolve the dispute by discussion for at least 30 days.
15. General
These terms, the Privacy Policy and any written membership agreement are the entire agreement between us regarding the platform. If any part is unenforceable, the rest remains in effect. You may not assign these terms without our consent; we may assign them to an affiliate or successor. Our failure to enforce a term is not a waiver.
